[摘　要]　对建筑业企业推行子公司制度，是当前一些地方为解决外来企业中大量存在的转包、违法分包和挂靠等现象所采取的措施。但是，推行子公司制度存在诸多法律风险。积极扶持发展本地企业、规范招标投标活动、加强市场执法等才是解决问题的关键。结合某市的做法对这一问题进行了分析，并提出相应建议。

Abstract: The implementation of subsidiary company system in construction enterprises, is the measure that is adopted in some locality in order to solve the phenomenon such as unlawful sub-contracting and affiliating existing in foreign enterprises. However, there are many legal risks in carrying out subsidiary system. The key to solve these problems is to actively support the development of local enterprises, regulate tendering and bidding activities as well as strengthen market enforcement. Combined with the practice of some city, this paper analyses the issue and presents corresponding proposals.
