摘要：研究PPP模式下城市公用事业的政府部门与民营部门、民营部门与投资方间的两类契约。针对政府部门和民营部门间的机会主义行为，应建立合理的股权治理机制；针对民营部门和投资方间的分红政策、债券稀释以及投资变更等突出问题，应注重契约的关系治理。

Abstract：This paper researches the two types of contracts of urban public utility under the PPP model between government departments and the private sector，private sector and investors. For the opportunistic behavior between the government and private sector，should establish a reasonable equity governance mechanism. For the dividend policy，bond dilution and investment changes and other outstanding issues of private sector and investors，should pay attention to the relationship governance of contract.
