[摘　要]　提出并阐述了规则性合作思想，该思想以Partnering协议为具体的体现。分析了工程合同和Partnering协议的关系，提出拟订Partnering协议条款应遵循的原则、协议应包括的关键内容及其协议绩效目标的制定。

Abstract: This paper puts forward the idea of institutional cooperation，and this idea is embodied by the general and special conditions of the Partnering Agreement. It analyzes the relationship between engineering contract and Partnering Agreement, and puts forward the principle while drawing up the Partnering Agreement, the key contents which should be included and the establishment of the performance target.
