[摘　要]　PPP模式成功的关键，除了公私人财物的“合”，还包括公私权责利的“分”；只有在公私人财物合作的同时，做好合作项目的权力分配、责任分担、利益分享等工作，PPP模式才能在中国走得更稳、更广、更远。

Abstract: The paper concludes that the key of successful application of the PPP includes cooperating and sharing.The cooperating means cooperation between public and private, that involves the human, financial and material resources.The sharing involves the distribution of power, the participation of responsibility and profit between public and private. Until the combination of the“cooperating” and the “sharing”, the PPP can carry out more steady, widely and farther.
