[摘　要]　回顾我国代建制、美国CM@R的发展进程，援引相关法律，阐述各自特点；从运做程序、招投标方式、组织管理结构三方面对两种模式进行比较，分析二者在以上三个方面的优劣点；最后提出在我国代建制推广过程中，可以借鉴CM@R模式进行优化的建议。

Abstract: Review the process of agent-construction institution in China and CM@R in U.S. The papers invokes the law associated with agent-construction institution in China and CM@R in U.S.A, sets forth characteristics separately,  compares the modes in operation process, bidding model, organization of project management, summarizes advantages and disadvantages, at last, suggests some opinions to take examples from CM@R to use agent-construction institution.
