[摘　要]　从分析项目经理的定义和职权范围出发，探讨了项目经理行使权力过程中的法律风险，并试图从人事制度、经营和财务管理制度和外部沟通与协调等角度，对项目经理管理中的风险防范提出一些建议。

Abstract: By analyzing the definition and authority of project managers, the legal risks which occur during project managers' execution of power are discussed in this paper. Some suggestions for risk prevention are given from the aspects of human resources system, operation and financial system as well as external communication and coordination.
