[摘　要]　挂靠是违法的，但是由于市场经济中客观上需要各种资源优势互补，形成新的合力，所以我国建筑行业广泛存在挂靠合作经营模式。文章通过指出不对称信息下挂靠合作经营的风险，分析被挂靠企业的战略行为选择，以监管挂靠企业，最后提出规避风险的措施。

Abstract: Although the affiliation is illegal， kinds of resources need in complementing each other's advantages in order to form the new composite force in market economy. So the model of the affiliation corporation business exists in building industry extensively in our country. This paper analyses the strategic action choices of affiliated enterprises to supervise and manage the affiliation companies by pointing out the risks of the affiliation corporation business under the asymmetric information. Ultimately， the measures are put forward to avoid risks.
