[摘　要]　探讨公共项目的最优线性补偿方案，并基于此方案，设计代建激励合同。在完全信息条件下，政府通过制定基于实际成本的固定总价合同，在补偿成本基础上实现对企业降低成本的完美激励；在不完全信息条件下，为降低企业的信息租金，政府不得不考虑降低合同的激励强度，激励合同由固定总价合同向成本加成合同转变。项目风险分配、代建项目的不确定性以及政府拟定的激励强度都会影响合同参数的选择。

Abstract:This paper analyzes the cost reimbursement scheme for public project and designs the linear incentive contracts. The fixed-price contract gives the firm perfect incentives for cost reduction under complete information, so the government can offer the fixed-price contract to fully extract the firm's rent. But the government has to reduce the power of incentive schemes under asymmetric information because of the concern for rent extraction, and move the incentive contract toward cost-plus contract. The risk, uncertainty and the power for incentive of the public project are the main factors that could affect the choice.
