摘要：应用契约经济学理论提出BOT项目契约治理的基本框架，采用案例对比研究的方法，对印度Dabhol电厂和越南海阳燃煤电厂两个项目的契约治理情况进行对比分析，在此基础上，提出BOT项目契约治理的对策建议。

Abstract：This paper applies contract economics theory to propose the basic framework of contract governance of BOT projects. Then，uses the method of case comparison to conduct a comparative analysis of the contract governance of Indian Dabhol power plant project and Vietnamese Hai Duong coal-fired power plant project. Based on these，puts forward the countermeasures and suggestions for the contract governance of BOT project.
