[摘　要]　“阴阳合同”问题在我国建筑领域非常突出，是指招标人与中标人签订了合同后另行订立了一个背离该合同实质性内容点其他协议而引发的问题。文章从《解释》条款本身对第21条规定加以解读。分析了《解释》第21条的适用条件，探讨了建筑工程“阴阳合同”效力问题，并结合"垫资问题"全面解读《解释》第21条的规定。

Abstract: Black and white construction contracts is a newly coined phrase in the Chinese construction industry that describes a project company signing two versions of a contract with the contractor. The paper explores the essence of Black and white construction contracts according to the new interpretation promulgated by the Supreme People's Court on 25 October 2004. It mainly researches on the validity of the Black and white construction contracts and makes a legal debate based on the new interpretation.
